Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Mongoose Films LLC, a Michigan limited liability company doing business as BidDrop ("BidDrop," "we," "us," or "our"), located in Canton, Michigan. By creating an account, accessing, or using the BidDrop platform at biddrop.us (the "Platform"), you agree to be bound by these Terms in their entirety. If you do not agree, do not use the Platform.

1. Description of Service

BidDrop is a field sales platform designed for exterior home improvement contractors and their sales representatives. The Platform enables users to identify residential properties via satellite imagery, generate project measurements and cost estimates, manage canvassing territories, track sales opportunities, and send personalized project previews and direct mail to homeowners through third-party fulfillment services. BidDrop supports contractors operating across multiple exterior trades, including but not limited to roofing, siding, windows, gutters, concrete, and fencing. BidDrop is a business-to-business (B2B) service intended solely for licensed contractors, home improvement companies, and their authorized sales personnel.

2. Eligibility

You must be at least 18 years of age and be using the Platform on behalf of a legitimate exterior home improvement business or as an authorized representative of one. By accepting these Terms, you represent and warrant that you have the legal authority to bind yourself and, where applicable, your employer or client to these Terms. Use of the Platform by individuals acting as consumers (i.e., homeowners seeking home improvement services) is not permitted.

3. Account Registration

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify BidDrop immediately at support@biddrop.io if you suspect unauthorized access to your account.

4. Subscription Plans and Billing

BidDrop offers two service plans:

Credits are the unit of currency within BidDrop. One (1) credit is consumed each time a homeowner address is unlocked and a postcard is queued for mailing. Credits have no cash value, are non-transferable between accounts, and are subject to the refund policy described in Section 5.

Monthly Plan subscribers are billed on a recurring monthly basis. You authorize BidDrop to charge your payment method on file at the start of each billing cycle. Failure to pay may result in suspension or termination of your account. Credits purchased under either plan are added to your account balance immediately upon successful payment processing.

5. Refund Policy

All credit purchases are final and non-refundable. Credits that have been purchased but not yet used will remain in your account balance until consumed or until your account is terminated. BidDrop does not issue refunds for unused credits under any circumstances, including account cancellation, plan downgrade, or dissatisfaction with mail delivery outcomes.

Monthly Plan subscription fees are non-refundable for any partial billing period. If you cancel your Monthly Plan, your subscription will remain active through the end of the current billing cycle, after which your account will revert to Pay-as-you-go status. Included credits that were not used during the billing cycle do not carry over and are forfeited upon cancellation.

6. Direct Mail and Postcard Delivery

BidDrop facilitates the mailing of postcards to homeowner addresses through third-party mail fulfillment partners (including, but not limited to, Lob, Inc.). By initiating a postcard send, you acknowledge and agree to the following:

BidDrop is not responsible for USPS delivery failures, returned mail, undeliverable addresses, or delays caused by the United States Postal Service or any third-party carrier. BidDrop does not guarantee delivery to any specific address. Credits are consumed at the time a postcard is queued for mailing, regardless of whether the postcard is ultimately delivered. You are solely responsible for ensuring that the content of any postcard you send complies with all applicable federal, state, and local laws, including but not limited to the CAN-SPAM Act and any applicable state direct mail regulations.

7. Satellite Measurements and Estimates

BidDrop uses satellite imagery and aerial measurement technology to generate roofing area estimates and material cost projections. All measurements and estimates generated by the Platform are approximations only and are not guaranteed to be accurate. Satellite-derived measurements may not be used as the basis for insurance claims, permit applications, legal proceedings, or any other purpose requiring certified or licensed measurements. BidDrop expressly disclaims any liability for decisions made in reliance on Platform-generated measurements or estimates. Actual roofing dimensions, material requirements, and costs must be independently verified by a qualified roofing professional prior to any contractual commitment.

8. Data Usage, Homeowner Data, and Do Not Contact Compliance

IMPORTANT — READ CAREFULLY: BidDrop provides access to publicly available property and address data as a tool to assist contractors in identifying potential customers. By using this data, you accept full and sole legal responsibility for how it is used. BidDrop is a data delivery platform only and bears no responsibility for your compliance with any applicable law governing how you contact homeowners.

8.1 Nature of Data. The property addresses, parcel data, and homeowner information made available through the Platform are sourced from publicly available county assessor records, satellite imagery providers, and third-party data aggregators. BidDrop does not warrant the accuracy, completeness, or currency of any such data. You acknowledge that property ownership, occupancy status, and contact information may be outdated or incorrect.

8.2 Your Sole Responsibility for Compliance. You are solely and exclusively responsible for ensuring that your use of any data accessed through the Platform complies with all applicable federal, state, and local laws, regulations, and rules, including but not limited to:

Telephone Consumer Protection Act (TCPA) Obtain proper written consent before making autodialed or prerecorded calls or sending text messages to any phone number obtained through the Platform.
National Do Not Call Registry (DNC) Scrub all phone numbers against the National DNC Registry and any applicable state DNC registries before making any solicitation calls. Maintain your own DNC list and honor opt-out requests immediately.
CAN-SPAM Act Include required disclosures and opt-out mechanisms in any commercial email sent to contacts identified through the Platform.
State Do Not Solicit / Door-to-Door Sales Laws Comply with all state and local ordinances governing door-to-door solicitation, including permit requirements and posted "No Soliciting" restrictions.
State Privacy Laws (CCPA, VCDPA, etc.) Honor any applicable consumer privacy rights, including the right to opt out of the sale or sharing of personal information.
Fair Housing Act Do not use Platform data to target or exclude homeowners on the basis of race, color, national origin, religion, sex, familial status, or disability.

8.3 DNC Data Provided As-Is — No Guarantee of Accuracy. BidDrop may display Do Not Call (DNC) status indicators on phone numbers as a convenience feature. This data is sourced from third-party data providers and is provided strictly on an "as-is" basis. BidDrop does not warrant the accuracy, completeness, currency, or reliability of any DNC status information displayed on the Platform. DNC registry data changes daily, and the information displayed may be outdated, incomplete, or incorrect. The display of a DNC indicator (or the absence of one) does not constitute a legal determination of whether a number may be contacted, and BidDrop shall have no liability whatsoever for any TCPA violation, DNC violation, fine, penalty, or claim arising from your reliance on DNC status information provided by the Platform. It remains your sole obligation to independently verify DNC status, obtain and maintain current access to the National Do Not Call Registry and applicable state registries, scrub your contact lists before any outreach, and maintain your own internal do-not-contact list.

8.4 No Resale or Redistribution. You may not resell, sublicense, export, or otherwise redistribute any property data, address lists, or homeowner information obtained through the Platform to any third party without the express prior written consent of BidDrop. Any such redistribution is a material breach of these Terms and may expose you to civil and criminal liability.

8.5 BidDrop Not Liable for Your Data Use. BidDrop is a technology platform and data delivery service. BidDrop is not a telemarketer, direct marketer, or solicitation service. BidDrop shall have no liability whatsoever for any fines, penalties, damages, claims, or legal proceedings arising from your use of data obtained through the Platform, including but not limited to TCPA class actions, DNC violations, state privacy law enforcement actions, or any other regulatory or civil action. You agree to indemnify and hold BidDrop harmless from any such claims as further described in Section 14.

8.6 Prohibited Data Uses. You expressly agree not to use data obtained through the Platform to: (a) make unsolicited calls to numbers on the National DNC Registry without a prior business relationship or written consent; (b) send unsolicited commercial text messages without proper TCPA consent; (c) harass, threaten, or intimidate any homeowner or other individual; (d) discriminate against any person on the basis of any protected characteristic; (e) engage in any deceptive or misleading marketing practice; or (f) violate any applicable law or regulation.

9. Prohibited Uses

In addition to the data-use prohibitions in Section 8, you agree not to use the Platform to: send mail that is false, misleading, or deceptive; impersonate insurance adjusters, government inspectors, or any regulated professional; use satellite or address data in connection with insurance claims, litigation, or regulatory proceedings; resell or redistribute BidDrop credits or data to third parties without written consent; automate or scrape the Platform through unauthorized means; or violate any applicable federal, state, or local law. BidDrop reserves the right to suspend or terminate any account found to be in violation of these prohibitions, without notice and without refund.

10. GoHighLevel (GHL) Sub-Account

Monthly Plan subscribers receive access to a GoHighLevel CRM sub-account provisioned by BidDrop. The GHL Sub-Account is subject to GoHighLevel's own terms of service and acceptable use policies, including GoHighLevel's requirements regarding TCPA compliance, DNC scrubbing, and messaging consent. You are solely responsible for configuring and using your GHL Sub-Account in compliance with all applicable laws. BidDrop is not liable for any data loss, service interruption, regulatory violation, or other issues arising from your use of the GHL Sub-Account. Upon cancellation of your Monthly Plan, your GHL Sub-Account may be suspended or deprovisioned at BidDrop's discretion.

11. Intellectual Property

All content, software, designs, trademarks, and data comprising the BidDrop Platform are the exclusive property of Mongoose Films LLC or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended business purpose during the term of your active account. You may not copy, modify, distribute, sell, or create derivative works from any portion of the Platform without express written permission from BidDrop.

12. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of any data you input into the Platform. By inputting such data, you grant BidDrop a limited license to process that data solely for the purpose of providing the Platform's services to you. BidDrop will not sell your customer data to third parties.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE. BIDDROP DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR THAT THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. BIDDROP MAKES NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR CURRENCY OF ANY PROPERTY DATA, ADDRESS DATA, OR HOMEOWNER INFORMATION PROVIDED THROUGH THE PLATFORM. BIDDROP MAKES NO WARRANTY THAT ANY DATA PROVIDED THROUGH THE PLATFORM IS COMPLIANT WITH THE NATIONAL DO NOT CALL REGISTRY, ANY STATE DO NOT CALL REGISTRY, OR ANY OTHER DO-NOT-CONTACT LIST.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MONGOOSE FILMS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, REGULATORY FINES, TCPA PENALTIES, DO NOT CALL VIOLATIONS, OR ANY OTHER DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM OR YOUR USE OF ANY DATA OBTAINED THROUGH THE PLATFORM. IN NO EVENT SHALL BIDDROP'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO BIDDROP IN THE THREE (3) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100). THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF BIDDROP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15. Indemnification

You agree to indemnify, defend, and hold harmless Mongoose Films LLC and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) any content or data you submit through the Platform; (d) your violation of any third-party rights or applicable law; (e) any TCPA claim, Do Not Call violation, state privacy law enforcement action, or other regulatory proceeding arising from your use of data obtained through the Platform; or (f) any claim by a homeowner or other individual arising from your solicitation or marketing activities conducted using data obtained through the Platform. This indemnification obligation is a material term of these Terms and survives termination of your account.

16. Termination

BidDrop may suspend or terminate your account at any time, with or without cause, and with or without notice. You may cancel your account at any time by contacting support@biddrop.io. Upon termination, your right to access the Platform ceases immediately. Sections 5, 7, 8, 11, 13, 14, 15, 17, and 18 survive termination.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Wayne County, Michigan, and you hereby consent to the personal jurisdiction of such courts.

19. Contractor Licensing and Regulatory Compliance

19.1 No Verification of Licensing. BidDrop does not verify, confirm, or warrant that any user of the Platform holds a valid contractor's license, business license, or any other permit or certification required by any federal, state, county, or municipal authority. Contractor licensing requirements vary significantly by jurisdiction, trade type, and project value threshold. BidDrop has no obligation to verify your licensing status and expressly disclaims any responsibility for doing so.

19.2 Your Sole Responsibility. You represent and warrant that you hold all licenses, permits, certifications, and registrations required by applicable law to perform the contracting, roofing, or other trade services you offer in each jurisdiction in which you operate. You are solely and exclusively responsible for determining what licensing requirements apply to your business and for maintaining compliance with those requirements. BidDrop shall have no liability whatsoever for any fines, penalties, damages, claims, stop-work orders, or legal proceedings arising from your failure to hold a required license or permit.

19.3 No Legal Advice. Nothing in the Platform, these Terms, or any communication from BidDrop constitutes legal advice regarding contractor licensing or regulatory compliance. If you are uncertain whether a license is required for your business activities, you should consult a licensed attorney in your jurisdiction.

19.4 Indemnification for Licensing Violations. You agree to indemnify, defend, and hold harmless Mongoose Films LLC d/b/a BidDrop and its officers, directors, employees, and agents from and against any claim, demand, fine, penalty, or proceeding brought by any government authority, homeowner, or third party arising from your failure to hold a required license, permit, or certification in connection with services you offer or perform using the Platform.

18. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and BidDrop with respect to the Platform and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. BidDrop's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Changes to Terms. BidDrop reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date above. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

By creating a BidDrop account, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, including the data usage and Do Not Call compliance obligations in Section 8. You accept full and sole responsibility for ensuring your use of any data obtained through the Platform complies with all applicable laws, including the TCPA and the National Do Not Call Registry rules.
